These Terms of Service (the "Terms") form a binding legal agreement between you and Combo Ventures, LLC, a Florida limited liability company ("SEOAIO," "we," "us," or "our"), governing your access to and use of the SEOAIO and SEOAIO.ai websites at seoaio.ai and app.seoaio.ai, and all related software, features, tools, data, reports, and services we provide (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree to these Terms, do not access or use the Service.

The Service is a business-to-business product intended solely for use by businesses and professionals. By using the Service you represent that you are at least eighteen (18) years old and that you are using the Service for business or professional purposes, either on your own behalf or on behalf of an organization you are authorized to bind. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Please read these Terms together with our Privacy Policy and our Disclaimer, each of which is incorporated into these Terms by reference.

1. Definitions

  • "Service" means the SEOAIO platform, described as a "Website Visibility Operating System," including the public audit tool, subscription features, dashboards, measurements, scores, audits, findings, and AI-generated outputs.
  • "Account" means the credentials and profile through which you access the Service.
  • "Subscription" means a paid plan (such as Starter, Pro, or Agency) that grants access to paid features for a recurring term.
  • "Target" means any domain, URL, website, or web property that you submit to the Service for crawling, measurement, or analysis.
  • "Outputs" means the Visibility Score, Answer Share, Brand Recognition measurements, technical and AEO audits, entity and schema analysis, prioritized findings, recommendations, Implementation Briefs, snapshots, and all other data, reports, and materials the Service generates.
  • "AI Answer Engines" means third-party artificial intelligence and generative systems such as ChatGPT, Gemini, Claude, Perplexity, and Google AI Overviews, together with traditional search engines such as Google and Bing, which make up the AI-search and search ecosystem the Service is designed to help you understand. The specific engines the Service actively queries are identified in our Privacy Policy and may change over time.

2. The Service

SEOAIO measures and reports on a website's visibility across traditional search engines and AI Answer Engines. When you submit a Target, the Service performs a server-side fetch of the publicly accessible pages of that Target and queries one or more third-party AI answer engines (currently Perplexity) with sampled prompts to measure whether the Target is cited. From this the Service produces Outputs, including a composite "Visibility Score," an "Answer Share" and "Brand Recognition" measurement of how often AI Answer Engines cite a brand, technical and AEO audits, entity and schema analysis, prioritized findings, and automated recommendations and Implementation Briefs. Results are stored as immutable snapshots reflecting a moment in time.

The Service provides measurements, estimates, and informational analysis. It does not provide, and nothing in the Service constitutes, professional advice of any kind. Your use of the Outputs, and any action you take in reliance on them, is at your sole discretion and risk.

3. Accounts and Access

To access paid features you must create an Account by signing in with Google OAuth. You are responsible for maintaining the confidentiality of your Account and for all activity that occurs under it. You agree to provide accurate information and to keep it current. You must notify us promptly at contact@seoaio.ai of any unauthorized use of your Account. The Service organizes access into Organizations, Workspaces, Projects, and Assets, with roles (Owner, Admin, Manager, Editor, Viewer) that determine permissions. You are responsible for managing the users and roles within your Organization and for their compliance with these Terms.

4. No Guarantee of Results

SEOAIO does not guarantee any search ranking, traffic, AI citation, Answer Share, Brand Recognition, revenue, lead, conversion, or any other business, marketing, or financial outcome. Search engine and AI Answer Engine results depend entirely on third parties whose systems, algorithms, models, and ranking or citation criteria are outside our control and change constantly and without notice. No statement made by the Service, in our marketing, or by any of our personnel is a promise, warranty, or guarantee of any result. Any decision you make based on the Outputs is your own, and you assume all risk associated with it. This Section 4 survives termination and is a material part of the basis on which the Service is offered.

5. Nature of Measurements and Outputs

The Visibility Score, Answer Share, Brand Recognition figures, audits, and other Outputs are estimates and measurements taken at a point in time, derived from sampled queries to volatile third-party AI Answer Engines and from crawl data gathered from publicly accessible pages. The outputs of AI Answer Engines are non-deterministic, may vary between runs, and are outside our control. Outputs may be incomplete, delayed, approximate, or inaccurate; they may change as third-party systems change; and they are provided "AS IS." You agree not to rely on any Output as the sole basis for any business, financial, legal, or other decision, and to independently verify information before acting on it.

6. AI-Generated Recommendations and Implementation Briefs

The Service uses automated systems, including third-party AI models, to generate recommendations, prioritized findings, and Implementation Briefs. These outputs are automated, are informational only, and may contain errors, omissions, inaccuracies, or fabricated or "hallucinated" content. They are not professional advice of any kind, including legal, financial, tax, technical, marketing, or SEO advice, and no professional-client, advisory, or fiduciary relationship is created by your use of the Service. You are solely responsible for reviewing, validating, and testing any recommendation before implementing it, and for any consequences of implementing it.

7. Your Targets and Authorization to Analyze

You direct the Service to crawl and analyze the Targets you submit. You represent and warrant that, for every Target you submit, you own the Target or are otherwise authorized to have it crawled, measured, and analyzed, and that our crawling and analysis of it at your direction will not violate any applicable law or any third party's rights, terms of service, contract, or policies, including without limitation computer-access laws such as the U.S. Computer Fraud and Abuse Act, anti-circumvention rules, robots or access restrictions, and privacy laws. The Service is designed to fetch only publicly accessible pages and to operate in a lightweight, good-faith manner, but you, and not SEOAIO, direct which Targets are analyzed and are responsible for the legality of that direction. You are solely responsible for ensuring that any data present on a Target you submit, including any personal data, may lawfully be processed through the Service.

8. Acceptable Use

You agree not to, and not to permit any person to:

  • use the Service to crawl, measure, or analyze any Target you are not authorized to analyze;
  • use the Service in violation of any applicable law or any third party's rights;
  • attempt to gain unauthorized access to the Service, other users' data, or any related systems or networks;
  • interfere with, disrupt, overload, or circumvent any security or rate-limiting feature of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • resell, sublicense, or make the Service available to third parties except as permitted by your plan;
  • use the Service to build a competing product, or to scrape or extract the Service's data other than through features provided to you;
  • upload or transmit malicious code, or use the Service to store or transmit unlawful, infringing, or harmful content;
  • misuse automated access, or use the Service in any manner that could damage, disable, or impair it.

We may investigate suspected violations and cooperate with law enforcement as permitted or required by law.

9. Third-Party Services and Names

The Service interoperates with, measures visibility in relation to, or references third-party services, including Google, Bing, ChatGPT, Gemini, Claude, Perplexity, and Google AI Overviews. The names, logos, and trademarks of these and other third parties are used nominatively, solely to identify the services we measure or the systems we interact with. SEOAIO is independent and is not affiliated with, endorsed by, sponsored by, or partnered with any of these third parties. We do not control third-party services, are not responsible for their availability, accuracy, outputs, or changes, and your use of any third-party service is governed by that third party's own terms.

10. Subscriptions, Fees, and Billing

Paid features are offered through recurring Subscriptions. Fees, plan features, and billing terms are presented at the point of purchase and are processed through our third-party payment processor. Subscriptions renew automatically for successive terms at the then-current rate unless you cancel before the end of the current term. You authorize us and our payment processor to charge your payment method for the applicable fees, including renewals, until you cancel. You may cancel at any time; cancellation stops future renewals and takes effect at the end of your current paid term, and you retain access until then. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial periods, unused features, or downgrades. We may change our fees and plan features on a prospective basis; changes to recurring fees apply to renewals after we give notice as required by law. You are responsible for any applicable taxes other than taxes on our net income.

11. Free Tools and Beta Features

We offer a free, no-login public audit tool and may from time to time offer trial, beta, preview, or experimental features. These are provided "AS IS" and "AS AVAILABLE," without any warranty, may be changed or withdrawn at any time, and may have additional or different limitations. Roadmap statements describe possible future development and are not commitments.

12. Intellectual Property

The Service, including its software, design, text, and the methods, models, and know-how underlying it, and all intellectual property rights in them, are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your paid term, and to use the Outputs you generate for your own internal business purposes. You retain any rights you have in the Targets and data you submit. You grant us a worldwide, royalty-free license to host, process, and use your submissions and generated data as necessary to operate, secure, maintain, and improve the Service. We may generate and use aggregated or de-identified data that does not identify you or any individual.

13. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it for any purpose without restriction or compensation to you.

14. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, if required by law, to protect the Service or other users, or if your payment fails. You may stop using the Service and cancel your Subscription at any time. Upon termination, your right to access the Service ends. Sections that by their nature should survive termination, including Sections 4, 5, 6, 7, 9, 12, 13, 15, 16, 17, 18 through 22, and 25, survive.

15. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, timely, or error-free; that any Output, score, measurement, audit, or recommendation is accurate, complete, current, or reliable; that any result, ranking, traffic, or citation will be achieved; or that defects will be corrected. No advice or information obtained from us or through the Service creates any warranty not expressly stated here. Some jurisdictions do not allow certain exclusions, so some of these exclusions may not apply to you.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SEOAIO AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

The parties agree that these limitations reflect a reasonable allocation of risk, are an essential basis of the bargain between us, and would not be offered without them; they apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17. Indemnification

You will defend, indemnify, and hold harmless SEOAIO and its members, managers, officers, employees, and agents from and against any claims, demands, actions, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) any Target you submit or your direction to crawl, measure, or analyze it; (b) your breach of these Terms or of your representations and warranties, including those in Section 7; (c) your violation of any law or any third party's rights; (d) your use of the Service or the Outputs, including any action you take in reliance on them; or (e) content or data you submit through the Service.

18. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You and SEOAIO agree that the exclusive venue for any dispute not subject to the informal-resolution process below is the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. Class Action Waiver

To the fullest extent permitted by law, you and SEOAIO agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The parties waive any right to a jury trial to the extent permitted by law.

20. Time Limitation on Claims

Except where prohibited by applicable law (including, in Florida, Fla. Stat. Section 95.03), any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise it is barred to the fullest extent permitted by law.

21. Informal Dispute Resolution

Before filing any claim, you agree to first contact us at contact@seoaio.ai and to attempt in good faith to resolve the dispute informally for at least thirty (30) days after notice. This step is a precondition to formal proceedings.

22. DMCA and Copyright Notices

We respect intellectual property rights. If you believe content accessible through the Service infringes your copyright, send a notice to contact@seoaio.ai that includes: identification of the copyrighted work; identification of the material claimed to infringe and enough information to locate it; your contact information; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act; and your physical or electronic signature. We may remove material and terminate repeat infringers in appropriate circumstances.

23. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility failures, third-party service outages, or changes to third-party search or AI systems.

24. Changes to These Terms and the Service

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Changes are effective when posted, and your continued use of the Service after they take effect constitutes acceptance. We may also change, suspend, or discontinue any part of the Service, including features and pricing, at any time on a prospective basis.

25. General

These Terms, together with the Privacy Policy, the Disclaimer, and any plan terms presented at purchase, are the entire agreement between you and SEOAIO regarding the Service and supersede all prior understandings. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. Notices to you may be given through the Service or by email; notices to us must be sent to contact@seoaio.ai.
